The aim of the course is to acquaint students with the historical development of commercial law and the relations between commercial law and other branches of law; distinguishing the basic concepts, specificities and sources of commercial law; understanding the purpose and consequences of concluding individual commercial contracts and other accompanying business transactions in specific commercial transactions of goods and services; training students to connect the basic institutes of commercial law with concrete factual and legal circumstances in the trade of goods and services; acquiring knowledge about the types and purpose of securities and their significance for commercial operations. Course content: - Concept and subject of study of commercial law (commercial law vs. other legal branches) - Legal sources of commercial law -Hierarchy of legal sources -Commercial contracts as the basis of all commercial transactions, concept of commercial contracts, typology of commercial contracts -Typology of commercial contracts (named/unnamed; typical; atypical, sui generis, self-regulatory) -Resolving commercial disputes (commercial courts, arbitration and conciliation) -Emergence and changes of mandatory relationships -Intensification and termination of obligations -Selected contracts + payment and payment insurance -Securities (bill of exchange, bill of lading, warehouse receipt, promissory note)
